Grocery Manufacturers’ Representatives (GMR)

Event/Activity: GMR organized activities and events (each, an “Activity”) at various locations, and on various dates

PLEASE READ CAREFULLY. THIS IS A RELEASE OF LEGAL RIGHTS.

1) Parties

This Liability Waiver and Release of Claims (“Agreement”) is entered into by and between:

- Released Parties: Grocery Manufacturers’ Representatives (GMR), its affiliates, officers, directors, employees, agents, contractors, volunteers, sponsors, venue owners/lessors, and insurers (collectively, “Released Parties”), and

- Participant: The undersigned adult individual (“Participant”).

2) Activity Description

Participant will take part in one or more GMR‑organized activities or events, which may include: meetings, socials, charity gatherings, or team‑building activities, and other onsite or offsite functions conducted by or for GMR (each an “Activity”).

3) Acknowledgment of Risks; Assumption of Risk

Participant understands the Activities involve inherent risks, including but not limited to: slips, trips, falls, lifting or carrying samples or equipment, warehouse and loading dock hazards, uneven or wet floors, exposure to heat/weather, vehicle transportation risks, interaction with store fixtures, displays, or third parties, and exposure to communicable diseases.

PARTICIPANT VOLUNTARILY AND KNOWINGLY ASSUMES ALL SUCH RISKS.

4) Release of Claims (Adults)

To the fullest extent permitted by Florida law, Participant releases, waives, and forever discharges the Released Parties from any and all claims arising out of the Activity, including claims based on ordinary negligence. This Release does NOT apply to gross negligence or intentional misconduct.

5) Indemnification and Hold Harmless

Participant agrees to indemnify, defend, and hold harmless the Released Parties from third‑party claims arising from Participant’s acts, omissions, or violations, except where caused by the Released Parties’ gross negligence or misconduct.

6) Medical Authorization; Fitness to Participate

Participant affirms they are physically able to participate and consents to first aid and emergency medical care, assuming responsibility for all associated costs.

7) Rules; Equipment; Alcohol/Drugs

Participant agrees to follow safety instructions and avoid alcohol or impairing substances.

8) Image/Media Release

Participant grants GMR the right to photograph and record their likeness for lawful purposes.

9) Communicable Disease Acknowledgment

Participant acknowledges risk of exposure to contagious diseases.

10) Personal Property

Participant agrees GMR is not responsible for lost or damaged personal property.

11) Adults Only

Participant affirms they are 18 years or older.

12) Governing Law & Venue (Florida – Court‑Only)

This Agreement is governed by Florida law. All disputes will be resolved exclusively in the state or federal courts located in the Florida county where the Activity occurs.

13) Severability; Entire Agreement

If any provision is invalid, the remainder stays in effect.

14) Conspicuous Notice

Participant acknowledges Sections 3–5 contain assumption of risk, release, and indemnification terms.
